Terms of service
A baseline for our work, confirmed for each assignment.
Purpose
These terms are intended to create clarity and a smooth working relationship. They outline how Ona Consulting typically works with clients. Project-specific agreements, proposals, and written confirmations may supplement or override these terms.
​Scope of services
Ona Consulting AS provides advisory services related to HVAC systems, energy performance, sustainability, regulatory frameworks, EPD/LCA methodology, and related training and presentations. Assignments are based on a defined scope, agreed objectives, and any specified deliverables. Where relevant, these are confirmed in writing before work begins.
Fees, invoicing and payment
Fees are agreed in advance, and may be based on:

fixed price, where scope and deliverables are clearly defined, or

time and materials, billed according to hourly rates and documented time use

Travel and expenses may be invoiced separately if relevant, based on prior agreement.
Invoices are issued monthly or upon delivery of milestones, unless otherwise agreed. Payment terms are 14 days from invoice date. Overdue payments may incur statutory interest and reminder fees.
Client responsibilities
The client is responsible for providing relevant information and timely feedback needed to perform the assignment. Decisions, implementation, and compliance with applicable laws and regulations remain the responsibility of the client. Delays caused by missing input, late response, or changing prerequisites may affect delivery timelines and may result in additional work.
Revisions and changes
Where deliverables are defined, minor adjustments and clarifications are included. Additional work beyond the agreed scope will be agreed separately and may result in additional fees.
Schedule and delivery
Estimated timelines are based on known prerequisites at the time of agreement. If conditions change or dependencies are delayed, Ona Consulting may adjust delivery schedules accordingly, in dialogue with the client.
Confidentiality
Ona Consulting treats all non-public client information as confidential and will not share such information with third parties unless required by law or explicitly agreed. Clients are expected to treat materials provided by Ona Consulting as confidential where relevant.
Intellectual property and rights of use
Upon full payment, the client has the right to use the final deliverables produced for the assignment for their internal purposes and intended project use.

Ona Consulting retains ownership of underlying methods, templates, frameworks, tools, and know-how developed prior to or during the assignment. This ensures that general experience and methodology can be reused across assignments, while client-specific content remains protected.

Use of Ona Consulting material outside the agreed context, including redistribution or publication, requires written approval.
Quality and limitations
Ona Consulting aims to deliver high-quality work based on available information, recognised standards, and professional judgement. All assessments and recommendations are made with the intention of supporting informed decisions, but outcomes will depend on conditions, execution, and operational factors outside Ona Consulting’s control.
​Liability
Ona Consulting’s liability is limited to direct damages and is in any case limited to the fees paid for the relevant assignment. Ona Consulting is not liable for indirect losses, including loss of profit, loss of production, or consequential damages.
Termination
Either party may terminate an engagement with reasonable written notice. The client will be invoiced for work performed up to the termination date.
Governing law
These terms are governed by Norwegian law. Any disputes shall be subject to the jurisdiction of Norwegian courts.
